Als Legal Counsel Corporate Law & Governance – Deputy Company Secretary ondersteun je bij het beheer van corporate governance, vennootschapsrechtelijke zaken en bestuurlijke aangelegenheden. Bij Deloitte
Functieomschrijving
- Beheer van vennootschapsrechtelijke dossiers (statuten, aandeelhoudersregisters, volmachten, aandeelhoudersovereenkomsten e.d.);
- Ondersteunen bij de voorbereiding en organisatie van aandeelhoudersvergaderingen (AGM/EGM): agendavorming, voorlichting van aandeelhouders, coördinatie van documentatie en follow‑up;
- Voorbereiden en notuleren van vergaderingen van de Raad van Commissarissen en commissies, opvolgen van actiepunten;
- Adviseren van management en bestuursorganen over corporate governance‑ en vennootschapsrechtelijke vragen;
- Coördinatie met interne stakeholders (legal, finance, compliance, HR) en externe adviseurs waar nodig;
- Ondersteunen bij ad hoc governance‑projecten, wijzigingen in de bestuursstructuur en due‑diligence opdrachten;
- Monitoring van wijzigingen in wet- en regelgeving relevant voor Deloitte.
In deze afwisselende functie heb je veel contact met verschillende stakeholders (tot en met C-Level) en ben je samen met de Company Secretary de spil in het juridische web van Deloitte Nederland. Je rapporteert aan de Company Secretary en zorgt voor kwalitatieve output.

Verder heb jij als (Junior) Consultant Legal Counsel Corporate Law & Governance – Deputy Company Secretary:
- Een afgeronde Nederlandse rechtenstudie (WO), bij voorkeur richting vennootschapsrecht.
- Een uitstekende beheersing van de Nederlandse en Engelse taal;
- Minimaal 2jaar relevante ervaring bij voorkeur in een vergelijkbare rol of in een vennootschapsrechtelijke praktijk;
- Snel en nauwkeurig, met oog voor politieke en bestuurlijke verhoudingen; integer en vertrouwelijk in omgang met gevoelige informatie;
- Sterke organisatorische vaardigheden en ervaring met het werken onder tijdsdruk; zelfstandige werkhouding en teamspeler.
Aanvullende informatie
Als Deputy Company Secretary ondersteun je de Company Secretary in de dagelijkse uitvoering van vennootschapsrechtelijke en governance‑taken voor Deloitte Nederland. Je werkt daarbij binnen een bevlogen team van circa 23 collega’s en draagt bij aan een zorgvuldig, professioneel en betrouwbaar corporate secretariaat van de vennootschap.
Core Responsibilities
The role involves managing corporate governance and legal dossiers, including organizing shareholder meetings and preparing board minutes. You will advise management on legal matters and coordinate with internal and external stakeholders to ensure regulatory compliance.
Requirements
Candidates must hold a Master's degree in Law, preferably with a focus on corporate law, and possess at least two years of relevant experience. Excellent proficiency in both Dutch and English is required, along with strong organizational skills and the ability to work under pressure.
