Job Description

What will you do as Company Secretary? As Company Secretary at Ebusco, you will serve as a strategic link between the Management Board, Supervisory Board, and the organization. You will combine the sharp legal perspective of a legal counsel with the organizational skills of an executive assistant. You will ensure that our corporate governance remains at the highest level, monitor compliance with applicable laws and regulations, and act as a trusted advisor to management. Highlights Of Your Role Advise and support the Management Board on corporate governance, decision-making, and statutory reporting; Organize shareholder meetings and prepare minutes and action items; Oversee the legal good standing of the holding company and subsidiaries worldwide; Ensure that governance policies and compliance requirements are maintained and kept up to date, including AFM registers and insider trading regulations; Serve as the main point of contact for external service providers regarding corporate governance; Act as a trusted advisor and guardian of integrity, diversity, and non-discrimination. What We’re Looking For A completed Master’s degree in Law, preferably with a focus on corporate law; At least 5 years of experience as a corporate legal counsel, Corporate Secretary, or Executive Secretary to a Board of Directors; Demonstrated experience with corporate governance, compliance, and international entities; Excellent command of both Dutch and English, both written and spoken; You are proactive, organized, discreet, and solution-oriented. Core Responsibilities

Requirements

A completed Master’s degree in Law, preferably focused on corporate law, and at least five years of relevant experience as a corporate legal counsel, Company Secretary, or board executive secretary are required. Candidates should have experience in corporate governance, compliance, and international entities, excellent written and spoken Dutch and English, and a proactive, organized, discreet, and solution-oriented approach.
