About the job Do you want to run your own files instead of a slice of someone else's? BISSESSUR is looking for an associate with at least three years of experience as an advocaat to strengthen our corporate practice. You will work directly with the firm's principal and with clients on transactions, restructurings and corporate disputes, most of them with a cross-border angle. No layers, no silos, and responsibility from day one. What you will do Advise companies, directors, shareholders and investors on corporate law, governance and commercial contracts. Draft and negotiate SPAs, shareholders' agreements, joint venture agreements, loan and security documentation and corporate resolutions. Run due diligence and take transactions from term sheet to closing. Work on restructurings and distressed transactions, including WHOA proceedings. Act in corporate disputes, including proceedings before the Enterprise Chamber. Be a first point of contact for clients and for foreign counsel on cross-border matters. Contribute to business development: proposals, events and publications. What you bring At least three years of experience as an advocaat in corporate law, with the Beroepsopleiding Advocaten completed. Fluency in Dutch and English, spoken and written. You draft in both languages without help. Solid transaction experience and a genuine interest in corporate law in the broad sense. Commercial judgment. You see what the client needs and give advice that can be acted on. Independence and ownership. You manage your own files and deadlines, wherever you work from. Willingness to travel, within the Netherlands and abroad, for clients, closings and hearings. Experience in restructuring or corporate litigation is a plus. So is German. Requirements
Applicants must have at least three years of experience as an attorney in corporate law and have completed the Dutch Bar professional training program. They must be fluent in written and spoken Dutch and English, have solid transaction experience, and demonstrate commercial judgment, independence, and willingness to travel; restructuring or litigation experience and German are advantages.
