Job Description

Corporate Lending: Corporate Governance Officer Your role As a Corporate Governance Officer, you lead the development and implementation of the governance framework supporting the bank’s corporate lending activities. You ensure that policies, processes, controls, decision-making arrangements, and operating models remain proportionate, practical, and aligned with regulatory expectations and Group standards. Working within the second line of defense, you combine strong corporate credit risk expertise with governance ownership and change coordination. You interpret regulatory and Group requirements, translate them into workable solutions, and provide independent oversight and challenge across the corporate lending lifecycle. You are the Corporate Lending Risk lead for new products and material product changes. You coordinate the end-to-end risk contribution across governance, credit risk management, modelling, data, reporting, risk appetite, controls, and regulatory requirements. In short: define how corporate lending should operate and ensure Risk requirements are embedded. A day in the life of a Corporate Governance Officer Your morning begins with a cross-functional working session on a proposed corporate lending product. You define the required Risk workstreams, agree responsibilities and dependencies, and coordinate input from credit risk, models, data, reporting, operations, Legal, Compliance, Technology, and Group stakeholders. Later, you assess a regulatory or Group framework change and determine its impact on corporate lending policies, processes, controls, oversight, and decision-making. You translate the requirements into a practical implementation approach and prepare the key decisions for the appropriate governance forum. After lunch, you review the target operating model and RACI for a lending process. You resolve areas of uncertainty with the relevant teams, ensure that first and second-line responsibilities are clear, and confirm that the proposed controls support effective independent oversight. Towards the end of the day, you review materials for upcoming Credit Decisions, checking alignment with risk appetite and regulatory expectations. Before wrapping up, you follow up on regulatory engagement actions to ensure remediation plans remain on track and properly evidenced. Which team will you be joining? The Corporate Lending Risk team sits within Risk Management & Controlling at Lloyds Bank GmbH, providing second-line oversight across the lending lifecycle, including origination, portfolio monitoring, ESG, model governance, risk appetite, and governance. You will collaborate with Corporate Lending Risk, front office, Group Risk, Finance, Data, IT, Treasury, Compliance, other control functions, and specialist providers. We are a collaborative, curious, and growing team that values the ability to connect policy, controls, data, portfolio behavior, and regulatory expectations. What are we looking for? You are an experienced corporate lending risk professional with strong knowledge of credit risk and the end-to-end lending lifecycle. You understand how regulation, Group requirements, products, processes, models, data, controls, and governance connect, and you can turn complex requirements into practical operating arrangements. You are comfortable taking ownership of governance frameworks and leading the Risk contribution to cross-functional change. You can structure an initiative, identify all relevant risk workstreams, coordinate specialists, resolve dependencies, and bring matters to a clear decision without relying on formal authority. Beyond governance and documentation, you bring sound judgement on corporate lending products, credit processes, delegated authorities, collateral, covenants, portfolio monitoring, risk appetite, and credit risk controls. You understand the purpose of second-line oversight and can design proportionate monitoring and challenge that demonstrates whether the framework is operating as intended. Who are you and what do we ask from you? 7+ years of experience in a second-line credit risk, risk governance, or regulatory function within corporate banking. Strong knowledge of corporate lending products, credit risk management, and the end-to-end lending lifecycle. Experience leading the Risk contribution to new product approvals, material product changes, or comparable cross-functional initiatives. Experience owning or materially developing policies, processes, controls, operating models, governance forums, and RACI matrices. Working knowledge of ECB and SSM supervisory expectations, MaRisk, the EBA Guidelines on Loan Origination and Monitoring, and relevant CRR and CRD requirements. Experience applying second-line oversight and challenge, including the design of proportionate monitoring, controls, escalation, and evidence. Experience governing or overseeing third-party providers, service arrangements, or other material dependencies relevant to risk management. Confidence working with data, management information, automation, and AI-enabled solutions, with the ability to translate business and risk needs for technical specialists. Strong stakeholder management, written communication, and facilitation skills. Fluency in English is required; German and/or Dutch is an advantage. Some highlights of our benefits for you! Requires at least 7 years of experience in second-line credit risk, risk governance, or a regulatory function within corporate banking, with strong knowledge of corporate lending and its end-to-end lifecycle. Candidates should have experience leading cross-functional risk initiatives and developing governance frameworks, working knowledge of relevant European banking regulations, strong stakeholder and communication skills, and fluency in English; German and/or Dutch is advantageous.
