Your role will be to build a solid legal foundation for the new business while managing the legal and contractual needs of our existing operations. Join us as our first “Legal Counsel – Technology & Commercial”. Location: Gouda, The Netherlands. The setup is hybrid. Working model: Flexible / part-time / fractional What you’ll do You act as Starware’s Legal Counsel for all client-facing, partner-facing and product-related matters. You own the legal framework around Starware’s WMS and supply chain solutions ensuring that customer contracts, partner agreements and product terms support growth while managing legal and reputational risk. Technology & New Business Assess legal risks and requirements related to developing and commercialising software products. Advise the management team and other stakeholders on software ownership, intellectual property, licensing and use of third-party/open-source software. Support decisions around SaaS, cloud, data-storage models Advise on AI use, data protection and relevant technology regulation, including GDPR and the EU AI Act. Help establish the legal framework, policies and templates required to offer our products to our clients and support the business continuously Commercial Contracts & Contract management Take ownership of Service Level Agreements, Data Processing Agreements, Terms & Conditions, licensing agreements, NDAs and other commercial contracts with clients, partners and suppliers. Manage and continuously improve our existing contractual framework. Identify potential risks and advise on liability, warranties, indemnities, intellectual property and other contractual risks. What you bring We are looking for someone who combines strong legal expertise with a pragmatic, business-oriented mindset. Your background and experience: A Dutch law degree and qualification to practise in the Netherlands, or equivalent relevant Dutch legal expertise 3+ years of in-house legal experience (preferably within the logistics, supply chain, or technology sectors) or relevant experience in a commercial law firm Experience drafting and negotiating technology and commercial contracts, ideally also in an international environment. Good understanding of commercial law, IP, software licensing, GDPR and data-related issues. Interest in AI and emerging technology regulation. Excellent communication skills in Dutch and English The ability to work independently, take ownership and translate legal requirements into practical business solutions. The ability to explain legal jargon to colleagues outside of the legal field. Experience with SaaS, cloud services, AI, logistics or B2B technology is a strong plus. Core Responsibilities
Establish and manage the legal framework for Starware’s software products and existing operations, advising on software ownership, intellectual property, licensing, cloud and data models, AI, and data protection. Own and improve client, partner, and supplier contracts, including service-level agreements, data-processing agreements, terms and conditions, and licensing agreements, while managing legal and reputational risks.
Requirements
Requires a Dutch law degree and qualification to practise in the Netherlands, or equivalent Dutch legal expertise, plus at least three years of relevant in-house or commercial law firm experience. Candidates should have experience with technology and commercial contracts, knowledge of commercial law, intellectual property, software licensing and GDPR, and excellent Dutch and English communication skills.
