AMST Legal works as the external legal team of scale-ups and international companies in Tech, SaaS and AI, and of a group of Dutch public transport operators. Our clients bring us in as their legal counsel or general counsel: we join their deal calls and management meetings, set up and run their legal and contract processes, handle corporate and compliance matters, and negotiate their most important agreements. A growing part of this work involves AI, both in the contracts we negotiate and in the way we do our work. In this role you combine three things: senior legal work for our clients, a leading role in our team, and building out AMST Legal together with the founder. THE ROLE • Legal counsel for our clients. You work as interim or fractional legal counsel for our clients and support our fractional general counsel mandates, in the Netherlands and increasingly internationally and in projects. • Leading the team. You guide and develop our team of legal counsel, paralegal and legal interns. A good opportunity to gain management experience. • Building AMST Legal. Together with founder Robby Reggers you develop our external legal model further: how we work, how we use AI, and how we connect clients to our network of fractional and interim specialists in data privacy, AI, corporate, tax and employment. WHAT YOU WILL DO • Negotiate commercial contracts independently: SaaS and licence agreements, master services agreements, reseller and partner agreements, procurement and distribution contracts, in Dutch and English. • Act as legal counsel or general counsel on the client side, in the Netherlands and abroad (Belgium, UK, Nordics, US): deal calls, management meetings and contract processes. • Advise on corporate matters: signing authority within groups, UBO registrations and corporate housekeeping. • Improve legal processes for clients and for AMST Legal: templates, clause libraries, playbooks, approval workflows and the practical use of AI in contract work. • Train client teams in negotiation and contracting. • Contribute to our work for the Dutch public transport sector, including the legal working group on OVpay (the new OV-chipkaart and paying with a debit or credit card). AI IN THIS ROLE AI is part of the daily work at AMST Legal: • For our clients’ teams: helping in-house legal teams set up AI-supported contract processes. • In our own work: first drafts, projects work, reviews against playbooks, clause libraries and template maintenance, with a lawyer making the decisions and responsible for the result. • In our clients’ contracts: AI addenda, EU AI Act requirements, DPAs that cover AI, and vendor terms for AI tools. • We use Claude, ChatGPT, Legora, Spellbook, IronClad AI and Harvey in our legal work for clients and internally. It would be great if you have a lot of experience in using AI, but you do not need to be an AI specialist. Curiosity, a critical eye and the willingness to help build this are what matter. WHAT WE ARE LOOKING FOR • At least 6 years of experience in commercial contracts or corporate law, at a law firm or in-house. • Experience in negotiating commercial contracts independently (sales, partnerships, procurement), including complex and strategic deals. • Fluent in Dutch and English, with knowledge of Dutch law and the Dutch market. You do not have to be Dutch. A completed Dutch law degree is a plus. • Based in or around Amsterdam, given the two office days a week. • Pragmatic, responsive and a clear communicator with business stakeholders, including at board level. • Able to work independently and ready to lead a small team. Management experience is a plus, not a requirement. • Affinity with legal operations, legal tech and AI in legal work is a plus, as is affinity with SaaS, technology or public transport.
